Terms of Service

1. Who we are and acceptance of these terms

These Terms of Service ("Terms") are entered into between BIYU B.V. ("BIYU", "we", "us", or "our") and the company or individual accessing or using the BIYU platform ("Customer", "you", or "your").

By creating an account, starting a trial, or otherwise accessing the platform, you accept these Terms on behalf of yourself and the company you represent. If you do not agree, do not use the platform.

2. The service

BIYU provides rental and subscription software for physical products: storefront integration, order management, delivery and fulfilment, returns processing, refurbishment workflows, relisting, and asset-level reporting, delivered as a hosted, subscription-based service ("the Service").

We may add, change, or remove features over time. We will give reasonable notice before removing a feature that materially reduces the functionality you are paying for.

3. Accounts and registration

You must provide accurate registration information and keep it up to date. You are responsible for all activity that occurs under your account, and for keeping your login credentials confidential. Notify us immediately at info@biyu.world if you suspect unauthorised access to your account.

4. Free trial

If you start a free trial, the Service is provided "as is" for the trial period stated at signup, with no warranties beyond what is required by law. We may end or modify trial access at any time. Continued use after the trial period requires an active paid subscription.

5. Subscription, fees and payment

Paid access to the Service is billed according to the plan selected at signup or agreed in an order form, typically a fixed monthly fee plus usage-based fees calculated per order, asset, or revenue processed through the platform, as set out on our pricing page or your order form.

• Fees are invoiced in advance for the fixed component and in arrears for usage-based fees, unless otherwise agreed.
• All fees are exclusive of VAT and other applicable taxes unless stated otherwise.
• Late payments may result in suspension of access after written notice.
• Fee changes will be communicated at least 30 days before taking effect for existing subscriptions.

6. Term, renewal and cancellation

Subscriptions run for the term stated at signup or in your order form and renew automatically for successive periods of the same length, unless either party gives notice of non-renewal as specified in your order form or at least 30 days before the renewal date if no other period is specified. You may cancel a monthly subscription to take effect at the end of the current billing period.

7. Your data and content

You retain ownership of the data you upload to the platform, including product, order, customer, and asset records ("Customer Data"). You grant BIYU a licence to host, process, and display Customer Data solely to provide and support the Service. On termination, you may export your Customer Data for a reasonable period, after which we may delete it in line with our data retention practices. 8. Intellectual property

BIYU and its licensors retain all rights, title, and interest in the platform, including its software, design, and documentation. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business operations during your subscription term. No other rights are granted.

9. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable regulations.
• Attempt to reverse-engineer, decompile, or gain unauthorised access to the platform or its underlying infrastructure.
• Resell, sublicense, or provide access to the Service to third parties without our written consent.
• Upload data you do not have the right to process, or that infringes the rights of others.
• Interfere with the security, integrity, or availability of the Service for other customers.

10. Third-party integrations

The Service can connect to third-party providers you choose to use, such as ecommerce platforms, payment providers, logistics and carrier partners, and other integrations. BIYU is not responsible for the availability, functionality, or terms of those third-party services, and your use of them is governed by their own terms.

11. Warranties and disclaimers

We will provide the Service with reasonable skill and care and use commercially reasonable efforts to keep it available and secure. Except as expressly stated in these Terms or required by law, the Service is provided without warranties of any kind, express or implied, including fitness for a particular purpose.

12. Limitation of liability

To the maximum extent permitted by law, BIYU's total liability arising out of or related to these Terms or the Service is limited to the fees paid by you in the 12 months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages, including loss of profits, revenue, or data, except where such limitation is not permitted by applicable law.

13. Confidentiality

Each party will keep the other's confidential information secret and use it only as necessary to perform its obligations under these Terms, unless disclosure is required by law.

14. Suspension and termination

We may suspend or terminate access if you materially breach these Terms and do not remedy the breach within a reasonable period after notice, or if required to comply with applicable law. Either party may terminate for the other party's uncured material breach, insolvency, or cessation of business.

15. Governing law and disputes

These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law rules. Disputes arising from these Terms will be submitted to the competent court in the Netherlands, unless the parties agree otherwise in writing.

16. Changes to these terms

We may update these Terms from time to time. The current version is always available at www.biyu.world/terms. We will give reasonable notice of material changes before they take effect for existing customers.
